Terms of Service

Acceptance
These Terms of Service govern your access to and use of Covalence (usecovalence.com), together with its related applications and services (the 'Service'). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
What Covalence is
Covalence provides AI-assisted post-acquisition integration analysis. It reads the work documents, communications, meetings and project trackers you explicitly connect, and produces integration briefs, source-linked findings, contradiction flags and decision requests for you.
The Service is at an early stage and is offered to design partners and early users. Features may change, break or be removed as the product evolves.
Accounts and eligibility
You must provide accurate account information, keep your sign-in credentials secure, and remain responsible for activity under your account. You must be authorized to connect the tools and data you choose to connect.
Connected tools and your data
You decide which tools to connect. Connections are read-only and are made only after you explicitly authorize each one. You retain all rights to the data you connect and to the analysis produced for you.
We process connected content solely to provide the Service to you, as described in the Privacy Policy. We do not sell your data, use it for advertising, or use content from connected tools to train generalized machine-learning models.
Acceptable use
You agree not to misuse the Service. In particular, you will not: connect data you are not authorized to share; attempt to access another customer's data; reverse-engineer, overload or disrupt the Service; or use it to violate any law or third-party right.
Intellectual property
The Service — including its software, models, design and branding — is and remains the property of the publisher. While these Terms are in effect, you receive a limited, non-exclusive, non-transferable right to use the Service.
The outputs generated for you about your own data are yours to use.
Early-stage service — no warranty
The Service is provided 'as is' and 'as available', without warranties of any kind, whether express or implied. Because the Service relies on AI, outputs may be incomplete or incorrect; every finding is source-linked so that you can verify it, and you remain responsible for the decisions you make.
Covalence is not a substitute for legal, financial, tax or other professional advice.
Limitation of liability
To the maximum extent permitted by law, the publisher is not liable for any indirect, incidental or consequential damages, or for lost profits or lost data. Where liability cannot be excluded, it is limited to the amount you paid for the Service in the twelve months before the event giving rise to the claim, or, where the Service was provided free of charge, to one hundred US dollars (USD 100).
Fees
During the current early-access phase, the Service may be provided free of charge or under a separate written agreement (for example a design-partner or pilot agreement). Any paid terms are governed by that separate agreement, which prevails over these Terms in case of conflict.
Termination
You may stop using the Service and request deletion of your account at any time, as described in the Privacy Policy. You can disconnect any connected tool at any time from your workspace.
We may suspend or end access if these Terms are breached, or where necessary to protect the Service or other users.
Changes
We may update the Service and these Terms as the product evolves. Material changes are reflected by updating the date at the top of this page. Continued use of the Service after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rules that may apply where you live.
